How to Write CA Foundation Law Answers — Practice

Question 1

Two candidates answer the same six-mark practical problem. Candidate A writes: 'Yes, Ramesh can recover the money as the contract is valid.' Candidate B states the relevant provision, applies it to the dates and parties in the question, and reaches the opposite conclusion. Explain how ICAI would mark these and why.

Accepted Answer

ICAI's Suggested Answers allot the marks of a practical problem across three components: the statement of the governing provision, its application to the facts, and the conclusion. In a six-mark question these are typically weighted with the provision and the application carrying the bulk, and the conclusion a single mark or so.

Candidate A has written only a conclusion. There is no statement of which Act and which rule governs, and no demonstration that the rule produces the outcome. Even though the conclusion happens to be correct, the marks attached to the provision and the application cannot be awarded for reasoning that was never shown. A has scored the conclusion mark and little else.

Candidate B has stated the provision, which earns those marks in full, and applied it to the named facts, which earns those marks to the extent the application is sound. Only the conclusion mark is lost. B therefore scores substantially more than A despite reaching the wrong final answer.

The reason for this weighting is that the paper is testing legal reasoning, not outcomes. In a dispute between two parties, a candidate guessing at random reaches the correct outcome about half the time, so an outcome carries almost no information about whether the candidate knows any law. What distinguishes a competent answer is the ability to identify which rule governs a set of facts and to show it operating on them.

The practical consequence is that a candidate uncertain of the outcome should still write the full provision and a careful application, because that is most of the question. It also means that the three-part structure should be used even where the answer feels obvious — the marks for provision and application are available in every question, including the easy ones.

Question 2

Rewrite the following application so that it would earn full marks: 'In this case all the essential elements of a valid contract are present, therefore the agreement is enforceable.' The facts were that Anil offered to sell his car to Bimal for ₹4,00,000 on 3 June, Bimal posted his acceptance on 5 June, and Anil's letter of revocation reached Bimal on 6 June.

Accepted Answer

The original sentence is a conclusion masquerading as an application. It names no party, no date and no rule, and it would be equally at home in any question on the chapter, which is precisely the defect — an application that could be transplanted to a different problem has not applied anything.

A rewritten version:

'Under the Indian Contract Act, 1872, a communication of acceptance is complete as against the proposer when it is put in a course of transmission to him so as to be out of the power of the acceptor. A proposal may be revoked at any time before the communication of its acceptance is complete as against the proposer, but not afterwards.

Here, Anil made the offer on 3 June. Bimal posted his acceptance on 5 June, and at that moment the acceptance passed out of Bimal's power and into the course of transmission, so communication of the acceptance became complete as against Anil on 5 June. Anil's revocation reached Bimal only on 6 June, which is after the acceptance had become complete as against Anil. The revocation was therefore too late to be effective.

Accordingly a binding contract for the sale of the car at ₹4,00,000 came into existence on 5 June, and Anil's purported revocation does not affect it.'

Three features make the difference. The provision is stated as a rule that someone unfamiliar with it could apply. The application names Anil, Bimal, the specific dates and the specific event that satisfies the rule's trigger. And the conclusion answers the question asked rather than restating the rule. Notice also that the application does the real work of distinguishing 5 June from 6 June, which is the entire point of the fact pattern.

Question 3

A student is unsure whether the provision on agreements without consideration is section 25 or section 26 of the Indian Contract Act. Advise on what they should write, and explain the reasoning.

Accepted Answer

They should not name a section. They should describe the provision accurately instead.

A suitable form: 'Under the Indian Contract Act, 1872, an agreement made without consideration is void, subject to certain exceptions. The principal exceptions are an agreement made on account of natural love and affection between parties standing in a near relation to each other, where it is expressed in writing and registered under the law for the registration of documents; a promise to compensate a person who has already voluntarily done something for the promisor, or something the promisor was legally compellable to do; and a promise in writing, signed by the person to be charged, to pay a debt of which the creditor might have enforced payment but for the law of limitation.'

That answer demonstrates complete command of the provision, including its three exceptions, and would earn the provision marks in full.

The reasoning against guessing is that the costs are asymmetric. Omitting a section number costs little or nothing, because ICAI's Suggested Answers reward the substance of the rule and the examiner can see the law has been stated correctly. Naming the wrong section is actively harmful: it converts an accurate answer into one containing a confident and checkable error, and an examiner who finds one such error reads the rest of the script more sceptically.

The efficient allocation of preparation effort follows from this. Learn the rules thoroughly and learn the section numbers only for the provisions that recur constantly — the definition sections, the essentials of a valid contract, consideration and its exceptions, free consent, the remedies on breach, conditions and warranties in sale of goods, the partner's implied authority, and the definition sections of the Negotiable Instruments Act. Beyond that list, accurate description is a complete substitute.

The same principle applies to case law. At Foundation level, marks are not lost for omitting cases, but a fabricated case name destroys the credibility of an entire answer.

Question 4

Explain why identifying the legal issue before writing improves a practical problem answer, and describe how to do it. Illustrate with a problem in which a shopkeeper displays a television marked ₹25,000 in his window and refuses to sell it to a customer who tenders the money.

Accepted Answer

Why it matters. A practical problem's facts are constructed to raise one issue, occasionally two. Every detail in the question is there either to trigger the rule or to distract. A candidate who begins writing without identifying the issue tends to state whatever rule the chapter is about in general terms, then apply it loosely, and the answer wanders. A candidate who names the issue first has organised the answer before writing a word, because the issue determines which provision is relevant and therefore what the application must establish.

How to do it. Read the facts and ask what is actually being disputed. Formulate it as a question of law rather than of fact — not 'can the customer get the television' but 'was there an offer capable of acceptance'. Then locate that question within the sequence of the Act: formation, consideration, capacity, free consent, legality, performance, breach or a special contract. Naming the step usually identifies the provision immediately. Where two issues arise, deal with each in its own three-part structure rather than merging them.

Application to the illustration.

The issue is whether the display of goods with a price marked constitutes an offer, which the customer's tender of money would accept and so conclude a contract, or merely an invitation to offer, in which case the customer's tender is itself the offer and the shopkeeper is free to decline it.

Provision. Under the Indian Contract Act, 1872, a proposal is made when one person signifies to another his willingness to do or abstain from doing something with a view to obtaining that other's assent. A display of goods in a shop or window with prices marked is treated as an invitation to offer, not as a proposal, because the shopkeeper is inviting the public to make offers to buy rather than signifying a willingness to be bound to whoever responds. An offer must be distinguished from an invitation to offer, which is a preliminary step inviting others to make proposals.

Application. The shopkeeper displayed the television marked at ₹25,000. That display invited members of the public to offer to buy at that price; it did not commit him to sell to anyone who appeared. When the customer tendered ₹25,000, the customer made the offer. The shopkeeper, as the offeree, was entitled to accept or decline it, and by refusing he declined. No acceptance took place, so no contract came into existence.

Conclusion. The customer cannot compel the sale. The shopkeeper's refusal is lawful, since no contract was ever formed.

Note how naming the issue in the first sentence made the rest of the answer nearly automatic. Had the candidate not identified it, the likely answer would have been a general discussion of offer and acceptance with no engagement in the display point, which is the whole question.

Question 5

Explain how a 'distinguish between' question should be structured and what makes such an answer incomplete. Illustrate by setting out the bases on which a condition and a warranty should be distinguished, without writing the full content.

Accepted Answer

Structure. A distinguishing question is answered by comparing the two items on a series of stated bases, with each point on one side paired against its counterpart on the other. The pairing is what makes it a distinction rather than two descriptions placed next to each other.

The answer should be laid out either as a two-column comparison or as numbered paired points, and each basis of comparison should be named. Writing 'a condition is essential to the main purpose of the contract' opposite 'a warranty is collateral' is a distinction; writing a paragraph about conditions followed by a paragraph about warranties is not, even if every statement in it is true.

What makes such an answer incomplete. Three defects recur.

Unpaired points, where one side lists five features and the other lists four unrelated ones, so the examiner cannot see the comparison. Every point must have a counterpart on the same basis.

Unnamed bases, where the points are true but the reader cannot tell what dimension is being compared. Naming the basis — nature, effect of breach, remedy available, whether it can be treated as the other — makes the structure visible and is itself worth marks.

Omission of the consequence, which is usually the most important part. A distinction that stops at definitions has left out what turns on it, and what turns on it is normally why the distinction exists at all.

The bases on which a condition and a warranty should be distinguished:

Meaning and statutory basis under the Sale of Goods Act, 1930.
Relationship to the main purpose of the contract — essential or collateral.
Effect of a breach — right to repudiate the contract, or only a claim for damages.
Remedy available to the aggrieved buyer.
Whether a breach of one may be treated as a breach of the other, and in what circumstances a condition may be waived or must be treated as a warranty.
Whether the term can be converted by the conduct or election of the party.

Six named bases, each with a paired statement and a short explanation, is a complete answer. The final two bases are the ones candidates most often omit, and they are the ones that show the distinction is understood rather than memorised.

Question 6

Set out the sequence of the Indian Contract Act as a single connected argument, and explain how knowing the sequence helps in answering a practical problem.

Accepted Answer

The Act is best read as a single sequence in which each step presupposes the one before, rather than as nine independent units.

What makes an agreement. Offer and acceptance, including how each is communicated, when communication is complete, and when either may be revoked. Without a valid offer met by a valid acceptance there is no agreement at all, so nothing later in the sequence arises.

What makes an agreement enforceable. Consideration — something of value moving at the promisor's desire — and the exceptions where an agreement is enforceable without it. An agreement enforceable by law is a contract; one that is not remains a bare agreement.

Who can make one. Capacity: a minor's agreement is void ab initio, and persons of unsound mind or disqualified by law cannot contract. Capacity is asked after enforceability because it concerns the parties rather than the bargain.

Whether the assent was real. Free consent, and the five factors that vitiate it — coercion, undue influence, fraud, misrepresentation and mistake. Each has a different consequence, and this is the step where a contract is typically voidable rather than void.

Whether the object is lawful. Void agreements, restraint of trade, marriage or legal proceedings, uncertainty, and wagering agreements. A contract may pass every earlier test and still fail here.

How it is performed and discharged. Who must perform, tender, the effect of time, appropriation of payments, and discharge by performance, agreement, impossibility, breach or operation of law.

What follows a breach. Damages and the rule on remoteness, liquidated damages against penalty, and quantum meruit.

The special contracts. Indemnity and guarantee, bailment and pledge, and agency, each being a contract with its own additional rules layered on the general law.

How the sequence helps in a problem.

When a practical problem is read, the first question becomes 'which step of this sequence is being tested?' A problem about a letter of revocation arriving after a posted acceptance is at step one. A problem about an uncle's promise to a nephew is at step two. A problem about a spiritual adviser and a devotee is at step four. A problem about a shipment that cannot be delivered because the port is closed is at step six.

Naming the step identifies the governing provision almost immediately, which is the hardest part of a law answer under time pressure. It also prevents the common error of applying a rule from the wrong step — for instance, treating a case of undue influence as though the issue were adequacy of consideration.

A further benefit is completeness. Where a problem raises two issues, the sequence makes the second visible: a candidate who has established that a contract was formed will naturally go on to ask whether consent was free, rather than stopping at formation.

Question 7

A student scores 42 in a Business Laws mock despite having read the entire Study Material twice. Diagnose the likely causes and prescribe a six-week corrective plan.

Accepted Answer

Diagnosis. Reading the Study Material builds recognition — the ability to follow a rule when it is presented. The paper tests production: identifying which rule governs unfamiliar facts and writing it out under time pressure in a structure that earns marks. Four specific failures are consistent with thorough reading and a score of 42.

Answering in conclusions. The most common cause. The student knows the law well enough to reach the right outcome and writes the outcome, forfeiting the provision and application marks, which are most of every question.

Thin application. Even where the provision is stated, the application says 'the essential elements are satisfied' rather than naming the parties, dates and events. This is the single largest recoverable loss in the paper.

No prepared distinctions. Questions asking to distinguish a condition from a warranty, indemnity from guarantee, or coercion from undue influence are answered from first principles under time pressure, producing unpaired lists that score about half.

Exceptions unprepared. The student knows each rule but not its limits, and problems are set on the limits precisely because they discriminate.

Corrective plan.

Weeks 1 and 2 — production and structure. Stop reading; start writing. Take practical problems from the Study Material and write full answers in the three-part structure before looking at any solution. Then compare and check one thing specifically: did the application name the parties and the facts, or did it assert that the elements were satisfied? Build one sheet per Act covering the definition, the essentials, the exceptions and the standard distinctions.

Weeks 3 and 4 — the Contract Act as a sequence and timed practice. Rebuild the Contract Act as the eight-step sequence and practise locating problems within it, since identifying the issue is the hardest thing to do under time pressure. Begin timed attempts at ICAI Revision Test Papers and Mock Test Papers, three hours, on paper, unaided.

Week 5 — targeted repair. Work the prepared distinctions until each can be produced as six named bases with paired points. Drill the exceptions specifically — the exceptions to consideration, the exceptions to the rule that a stranger cannot sue, the circumstances in which a condition must be treated as a warranty, the exceptions to a minor's incapacity. Revise from the per-Act sheets rather than from the Study Material.

Week 6 — consolidation. Two further full timed papers with strict self-marking against the Suggested Answers, scoring the provision, application and conclusion separately for each question so the pattern of loss is visible. Do not begin new material; the marginal return on new content is far below the return on structure and application across content already known.

The expected effect. Presentation and application losses are mechanical and recover quickly, typically within three or four written attempts, and they are spread across every question on the paper. A student already knowing the content who fixes the structure usually gains fifteen to twenty marks without learning a single additional section.

Question 8

A practical problem raises two distinct legal issues. Explain how to structure such an answer, why merging the issues loses marks, and what to do where the facts sit close to a legal line rather than clearly on one side of it.

Accepted Answer

Structuring a two-issue answer.

Identify both issues before writing, and state them at the outset: 'This problem raises two questions — first, whether a valid contract came into existence between A and B; and secondly, if it did, whether B's consent was free.'

Then deal with each issue in its own complete three-part structure. Issue one: the provision governing formation, applied to the relevant facts, with a conclusion. Issue two: the provision on free consent, applied to the relevant facts, with a conclusion. Finally, a combined conclusion answering the question the examiner actually asked, which is usually about a remedy or an entitlement rather than about either issue in isolation.

Why merging loses marks. ICAI's marking scheme allots marks to each issue separately, with its own provision, application and conclusion components. An answer that discusses both issues in one flowing passage forces the examiner to disentangle which sentences address which issue, and marks that cannot be located are frequently not awarded. Merging also tends to produce incompleteness: candidates who blend the issues almost always develop one properly and mention the other in passing, forfeiting the second issue's provision and application marks.

The ordering matters too. Issues should be taken in the sequence of the Act, because the second often presupposes the first. There is no point discussing whether consent was free before establishing that an agreement was formed, and an answer that reverses them reads as though the candidate has not understood the dependency.

Where the facts sit close to a line.

Some problems are deliberately constructed so that the outcome depends on a characterisation the facts do not fully settle — consent obtained by pressure that might be coercion or might be undue influence, a term that might be a condition or a warranty, an agreement that might be void for uncertainty or merely require interpretation.

The wrong response is to pick one and assert it. The right response is to state the test and show it being applied, acknowledging what turns on the characterisation.

A suitable form: 'Whether the consent was obtained by undue influence depends on whether one party was in a position to dominate the will of the other and used that position to obtain an unfair advantage. A relationship of spiritual adviser and devotee is one in which the law presumes such a position to exist. On the facts stated, the relationship is of that character and the transaction is substantially to the devotee's disadvantage, so the presumption arises and the burden of proving that the consent was free lies on the adviser. If that burden is not discharged, the contract is voidable at the option of the devotee.'

That answer earns more than a bare choice would, for three reasons. It states the legal test, which is the provision mark. It applies the test to the specific facts and identifies which of them trigger it, which is the application mark. And it states the consequence conditionally but definitely, which answers the question. It also demonstrates the thing the examiner is actually looking for — that the candidate knows what the law makes relevant — which a confident assertion of an outcome does not.
